RTO Negotiations Advance as Fall Growth Strategy Takes Shape

Negotiations with an OTC trading public company regarding a potential reverse takeover (RTO) have entered their final stages. We are working toward completion of the remaining negotiations, with the objective of having a draft agreement early next week.

This represents an important step in the company's broader strategy to establish a public-market platform capable of supporting the next phase of All Your Meals' North American expansion. And to be clear, we intend to move very quickly to establish our brand marketing and drive memberships and revenues. As with any transaction of this nature, the company will continue to provide updates as definitive documentation and other milestones are reached.

Marketing & Advertising — Seasonal Pivot

As summer comes to an end, the marketing strategy is shifting toward the fall season in both Canada and the United States. Goodbye lovely beaches. Hello tuning up my chainsaw and getting firewood ready. The objective is to align the brand's advertising with the changing mindset of consumers from summer activities and lighter meals toward convenience, routine, family schedules and comfort food.

Canada: Marketing is being repositioned around autumn themes, with creative focused on the transition from summer eating toward convenient, comforting meals for the cooler months. Vancouver beaches are being replaced by cozy condo settings.

United States: U.S. advertising is also moving into an autumn-focused campaign, incorporating the start of the NFL season as an example and the return to regular fall routines. Go Pats!

Canada — Fall Menu Development

The Canadian team is developing a new rotation of fall menu items for the Vancouver market. As the seasons change, consumer preferences typically move away from lighter "beach food" toward warmer, heartier and more comforting meals.

The upcoming menu development is focused on capturing that transition while continuing to maintain the convenience and variety that define the All Your Meals offering.

USA — Regional Menu Development

U.S. menu development is progressing on two fronts. The company is working with its Boston-area group on menu selections specifically suited to the regional market.

At the same time, the team is working with the North Carolina co-packing group on menu items that can work effectively both for the local market and, where appropriate, across a broader U.S. customer base.

This regional approach allows All Your Meals to balance local consumer preferences with scalable menu development, rather than relying on a single national menu from the outset.

Long-Term Production Strategy

While the company's current strategy is built around partnerships, co-packers and an asset-light expansion model using 3PL, the long-term objective remains the potential development of All Your Meals' own production facility, with Las Vegas being evaluated as one potential location.

The city has particular strategic interest to management because of the personal history of Patrick Smyth and Benny Doro in the market, as well as the potential opportunity to develop a significant B2B food-service business serving hotels, casinos and other large hospitality customers.

A future Las Vegas facility would potentially serve two purposes:

  • Support All Your Meals' consumer meal-preparation and distribution operations using 3PL.
  • Create an additional B2B production and fulfillment opportunity within one of the world's largest hospitality markets.

This is a long-term strategic consideration, not a current facility commitment while the immediate focus remains on expanding sales, strengthening regional operations and establishing the partnerships required to scale efficiently and drive revenues immediately.

Moving Forward

The company continues to move from infrastructure development toward market execution and growth.

The immediate priorities remain:

  1. Advance the potential RTO toward a draft agreement.
  2. Prepare seasonal fall marketing campaigns in Canada and the USA.
  3. Prepare new fall-oriented Canadian menu offerings.
  4. Finalize regional U.S. menu development with Boston and North Carolina partners.
  5. Continue building the partnership and operating infrastructure required for North American expansion.

The focus remains the same: Acquire customers. Generate revenue. Create value for our stakeholders.
