Dear Investors,
North Carolina is emerging as the logical starting point for All Your Meals' planned expansion into the United States, supported by our previous operating relationships, familiarity with the region, strategic location and distribution opportunities.
As All Your Meals advances its U.S. expansion planning, we are focusing on locations where existing experience and infrastructure can help support a practical market entry. North Carolina offers several characteristics that align with our operating model and longer-term geographic objectives.
Building on Previous Relationships
North Carolina is not an entirely new market for All Your Meals. We previously maintained a relationship with a partner production facility in the state and have worked in the region. This experience has provided familiarity with the local operating environment and commercial food production landscape.
Although future production arrangements remain subject to evaluation, our previous involvement provides a useful foundation as we assess potential partners and launch requirements.
A Strategic Southeastern Foothold
North Carolina's geographic position makes it an attractive potential starting point for establishing a presence in the southeastern United States. Its location offers access to major population centers throughout the Carolinas and neighboring states, while providing a potential foundation for evaluating additional markets along the Eastern Seaboard. Our approach is to establish operations in an initial market before considering further geographic expansion.
Shipping and Distribution Advantages
Distribution is an important consideration in the prepared-meal business. North Carolina benefits from established interstate transportation corridors, commercial shipping networks and regional logistics infrastructure.
For All Your Meals, whose planned U.S. operating model relies on independent commercial kitchens to prepare, package and deliver meals directly to customers, access to suitable logistics and delivery options is an important factor in market selection.
A Changing State Tax Environment
Recent developments in North Carolina's tax framework provide another consideration in evaluating the state's longer-term business environment.
In the November 3, 2026 election, voters approved constitutional amendments that:
- Reduce the state's maximum allowable income tax rate from 7% to 3.5%, applicable to both individual and corporate income taxes beginning with the 2027 tax year.
- Require the North Carolina General Assembly to establish limits on increases in property tax levies imposed by local governments.
These amendments do not automatically reduce current tax rates or establish specific property tax limits. However, they introduce constitutional restrictions on future tax increases that may be relevant to longer-term business planning. The results remain subject to formal election certification.
A Measured Approach to Expansion
Our planned North Carolina launch reflects a broader strategy of entering markets where operational familiarity, available production relationships and distribution infrastructure can support an efficient business model.
Rather than establishing company-owned production facilities, All Your Meals intends to work with independent commercial kitchens capable of preparing, packaging and delivering meals directly to customers.
This approach is intended to limit the need for company-owned production infrastructure while allowing the business to evaluate market demand and operational performance.
North Carolina represents a potential first step in establishing an All Your Meals presence in the United States, with additional markets to be evaluated as operations develop.
Thank you for your continued support of All Your Meals and if you have any questions or comments, please feel free to reach out to us.
